I am an accomplished attorney with over 10 years of experience working with franchisors large and small in the U.S. and abroad.  I have a broad base of both law firm and in-house legal experience across the restaurant, hotel, fitness, medical, wellness, gaming, moving, general retail, hospitality, convenience store, and oil and gas sectors.

My extensive law firm and in-house experience provide me with a firm grasp on the technical elements of franchise law, such as registration, disclosure, default, and termination, and a practical, business-driven mindset to help clients find solutions.  As a strategic business partner, I have worked with growing and established franchisors to develop and implement systems that improve efficiency and are legally sound. When faced with a challenging situation, I develop creative solutions to help business teams get to “yes”.

Domestic Franchise Experience

I negotiate and draft franchise agreements, all forms of multi-unit agreements, and license, supply, and distribution agreements. I prepare franchisors of all sizes to go to market, whether they choose to use a franchise disclosure document (which I can prepare and renew) or an exemption-based strategy.  My strong technical foundation in franchise law enables me to quickly and correctly get clients registered so they can get to work.

Franchise Acquisitions

I have considerable experience with all sizes of franchise-related acquisitions.  Whether the purchase is of a few units or an entire franchise network, I assess the overall health of the target franchise system, analyze franchisee issues, and review and analyze issues related to franchise agreement provisions and franchise disclosure documents of the target system. I work with the buyer to narrow the issues that matter and help the buyer understand the impact of those issues within the context of the deal and in the franchising space.

Supply & Distribution Agreements; Ghost Kitchens

I negotiate and draft a broad range of vendor, supply and distribution agreements across a variety of industries. In particular, I have significant experience negotiating mobile delivery agreements, including for ghost kitchens, remote kitchen networks, and delivery apps. I also have significant experience navigating the regulatory requirements that apply to ghost kitchens.

International Experience

Internationally, I have deal experience in 26 countries on 6 continents, including Australia, Canada, Indonesia, Mexico, the Philippines, Russia, Saudi Arabia, and Turkey. Working with local counsel, I negotiate and draft master franchise agreements, area development agreements, franchise agreements, and supply agreements and prepare required registrations of the franchise and intellectual property. I also prepare international disclosure documents and have significant expertise with international franchise regulations.

When not assisting clients on franchise issues, I love reading, traveling, dancing, and spending time with my amazing friends.  I am fluent in French and German and study Spanish and Arabic through music and YouTube lessons.  I can’t wait to go to Tunisia and practice Arabic and French in real life!
